1. Agreement to these Terms

By accessing or using NestingCenter you agree to these Terms of Service (“Terms”). If you are using the service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.

If you do not agree to these Terms, do not use the service.

2. Who we are

3. Eligibility and business use

NestingCenter is intended for professional and business use. By using the service you confirm that you are capable of entering into a binding legal agreement in the jurisdiction in which you operate.

The service is not intended for consumer or personal use unrelated to professional, commercial, or industrial manufacturing workflows.

4. Accounts and security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us promptly at contact@nestingcenter.io if you become aware of any unauthorized access to or use of your account.

We are not liable for any loss or damage resulting from your failure to protect your account credentials.

5. The NestingCenter service

NestingCenter provides a cloud-based software platform for uploading production files, managing projects, defining materials and parts, running nesting optimization jobs, viewing nesting results, and exporting production-related layouts, reports, and data.

The service is designed to assist professional users with material layout optimization. It is a software tool, not a substitute for engineering judgment, manufacturing expertise, or qualified review of production outputs.

6. Customer Content

“Customer Content” means all files, drawings, project data, material definitions, part lists, nesting configurations, generated layouts, export reports, and related production data that you upload, create, or store within NestingCenter.

By using the service, you grant NestingCenter a limited, non-exclusive, royalty-free license to host, store, process, transform, display, and generate outputs from your Customer Content solely as necessary to provide the service, maintain security, troubleshoot reported issues, and comply with applicable law. This license ends when you delete the content or close your account, subject to any retention obligations described in the Privacy Policy.

7. Uploaded files and production data

You are responsible for ensuring that you have the right to upload, process, and use all files and data you submit to the service. Do not upload files or content that you do not have the right to use.

You are responsible for the accuracy, completeness, and legal compliance of all uploaded data, including file dimensions, unit settings, geometry, and metadata. You are responsible for maintaining backups of your original files and production data.

You must not upload files containing malicious code, illegal content, or content that infringes third-party intellectual property rights.

8. Generated outputs and nesting results

Generated outputs such as nesting layouts, SVG exports, PDF reports, cut sheets, utilization statistics, and preview renderings are produced by software algorithms based on the inputs you provide. The quality of outputs depends directly on the accuracy and completeness of your input data.

NestingCenter does not verify, certify, or validate generated outputs for any specific manufacturing process, machine type, material specification, safety standard, regulatory requirement, or industry norm. All outputs must be independently reviewed and approved by qualified personnel before being used in any production, manufacturing, or industrial process.

9. User responsibilities

As a user of NestingCenter, you are responsible for:

• Verifying dimensions, units, tolerances, material properties, tool kerfs, margins, spacing, rotation settings, and all other parameters before submitting a nesting job.
• Reviewing and validating all generated results, layouts, SVG exports, PDF reports, cut sheets, and any other production outputs before using them in any manufacturing or production process.
• Verifying that exported SVG and PDF files correctly represent the intended geometry, part placement, quantities, and dimensions before sending them to a machine, operator, or production partner.
• Maintaining independent backups of your original files, drawings, and production data.
• Ensuring that your use of the service and its outputs complies with applicable laws, industry standards, and your own internal quality and safety requirements.
• Ensuring that the service is appropriate for your specific manufacturing workflow, machine configuration, and material type.
• Any consequences arising from applying nesting results or export data directly to production without independent verification.

10. Acceptable use

You agree not to:

• Use the service for any unlawful purpose or in violation of applicable law.
• Upload files containing malicious code, viruses, or harmful content.
• Attempt to reverse engineer, decompile, disassemble, or extract the source code or algorithms of the service.
• Attempt to access, probe, or compromise other users' accounts, projects, or data.
• Interfere with or disrupt the integrity or performance of the service or its infrastructure.
• Abuse free trials, quotas, or feature access in a manner inconsistent with the intent of the applicable plan.
• Upload files you do not have the legal right to use or process.
• Use automated scraping, crawling, or excessive requests without prior written authorization from NestingCenter.
• Resell, sublicense, or provide access to the service to third parties except as explicitly permitted.

Violation of these rules may result in suspension or termination of your account without notice.

11. Service availability and changes

We aim to provide a reliable service but we do not guarantee uninterrupted availability. The service may be temporarily unavailable due to scheduled maintenance, unplanned outages, infrastructure issues, third-party service failures, or circumstances outside our control.

We reserve the right to modify, update, deprecate, or discontinue any part of the service at any time. Where reasonably practicable, we will provide advance notice of material changes. Continued use of the service after a change constitutes acceptance of that change.

12. Plans, billing, trials, and subscriptions

The Free plan does not require payment card details and currently includes 5 nesting jobs per month. Paid plans are billed in advance according to the billing period and plan selected. Each paid plan may include a monthly or billing-period limit for nesting jobs, exports, or related production features as described on the Pricing page at the time of subscription.

You may cancel a paid subscription at any time. Unless otherwise required by applicable law, cancellation does not automatically entitle you to a refund or prorated refund for the remaining part of the billing period. Your paid features will remain available until the end of the current billing period unless the subscription is terminated earlier due to breach of these Terms.

Refunds may be reviewed in cases of duplicate charges, billing errors, material service failure, or where required by law. Refund requests related to completed nesting jobs, exported production files, or already consumed usage may be declined.

Paid subscriptions renew automatically at the end of each billing period unless cancelled. You authorize us, or our designated payment processor, to charge the applicable fees to your payment method.

All fees are stated exclusive of applicable taxes unless indicated otherwise. You are responsible for any taxes applicable to your purchase under local law. We reserve the right to change pricing with reasonable advance notice. Price changes will not affect your current billing period.

13. Usage limits and quotas

Usage limits are primarily based on the number of nesting jobs submitted during the applicable monthly or billing period. A nesting job means one nesting calculation or run submitted through the service.

The Free plan currently includes 5 nesting jobs per month. Paid plans include higher job limits according to the selected plan. Additional limits may apply to exports, file storage, processing time, project count, or other production features as described on the Pricing page or inside the product.

We may throttle, reject, pause, or limit jobs that exceed the applicable plan limits, create excessive load, appear abusive, or threaten the stability of the service.

14. Cancellation and termination

You may cancel your subscription or stop using the service at any time in accordance with the applicable plan terms. Cancellation does not entitle you to a refund for the current billing period unless required by applicable law.

NestingCenter may suspend or terminate your access to the service, with or without notice, if you materially breach these Terms, create a security risk, fail to pay applicable fees, or if we are required to do so by law.

Upon termination, your right to access the service ends. We will handle your Customer Content in accordance with the Privacy Policy and applicable plan terms.

15. Intellectual property

NestingCenter and its licensors own all rights in the service, including the software, algorithms, optimization engine, user interface, branding, visual design, documentation, and all related intellectual property. Nothing in these Terms transfers ownership of NestingCenter's intellectual property to you.

You retain all rights in your Customer Content. Refer to Section 6 for the limited license you grant to NestingCenter to operate the service.

16. Feedback

If you submit suggestions, ideas, feature requests, bug reports, or other feedback about the service, you grant NestingCenter the right to use that feedback for any purpose without compensation or obligation to you, unless otherwise agreed in a separate written agreement.

17. Confidentiality

NestingCenter treats your Customer Content as confidential. We will not disclose your Customer Content to third parties except as necessary to provide the service, comply with applicable law, prevent serious abuse or harm, or share with trusted subprocessors under appropriate confidentiality obligations.

We do not share your Customer Content with other customers of NestingCenter.

18. Third-party services

The service may rely on third-party infrastructure, including cloud hosting, email delivery, payment processing, error monitoring, and other operational services. NestingCenter is not responsible for the availability, performance, or actions of third-party services that are outside our reasonable control.

Links or integrations to third-party services from within NestingCenter are provided for convenience. We do not endorse or assume responsibility for third-party content, policies, or practices.

19. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the service, you agree to our Privacy Policy.

20. Disclaimers

To the maximum extent permitted by applicable law, the service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of results.

NestingCenter does not warrant that the service will meet your specific requirements, that generated outputs will be accurate or suitable for your manufacturing process, that the service will be uninterrupted or error-free, or that defects will be corrected within a particular timeframe.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud, death, or personal injury caused by negligence.

21. Limitation of liability

To the maximum extent permitted by applicable law, NestingCenter shall not be liable for any indirect, incidental, special, consequential, punitive, or production-related losses, including but not limited to:

• Lost profits or revenue.
• Wasted raw materials, sheet goods, or production stock.
• Machine downtime, setup costs, or rework expenses.
• Production errors, defective outputs, or scrap resulting from reliance on generated results.
• Business interruption or loss of production schedules.
• Loss of data or Customer Content.

These limitations apply regardless of whether NestingCenter was advised of the possibility of such losses and regardless of the theory of liability.

Where a limitation of liability cannot be excluded under applicable law, our total liability to you in connection with the service shall not exceed the greater of: (a) the fees paid by you to NestingCenter in the twelve months preceding the event giving rise to the claim, or (b) [Liability cap to be confirmed with legal counsel], to the extent permitted by law.

22. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless NestingCenter and its officers, directors, employees, and agents from and against any claims, damages, fines, penalties, or expenses (including reasonable legal fees) arising out of or related to:

• Your misuse of the service or violation of these Terms.
• Your Customer Content, including any claim that it infringes third-party rights.
• Your violation of applicable law or regulation.
• Your use of generated outputs in manufacturing without independent verification, where such use causes loss or damage.

23. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of [Applicable governing law], without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of [Applicable courts or dispute resolution venue], unless applicable mandatory consumer protection law provides otherwise.

24. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the service interface or by email to the address associated with your account, with reasonable advance notice before the changes take effect.

Your continued use of the service after the effective date of revised Terms constitutes acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the service before the effective date.

25. Severability and entire agreement

If any provision of these Terms is held to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

These Terms, together with the Privacy Policy and any applicable plan terms, constitute the entire agreement between you and NestingCenter regarding your use of the service and supersede any prior agreements on the same subject.
